Not having Vista installed, I'm assuming that it operates in a similar manner to XP, so type as a command 'msconfig' (without quotes) and go to the startup tab and uncheck Roxwatch9.exe and reboot
If it ain't broke, fiddle with it until it breaks, then fiddle with it until you get it fixed

You can stop it like Daithi says.On my machine to get to msconfig you need to go to All Programs,Accessories,Run and then type msconfig.
The question really is why is it red?Two things could be happening. One is that Folder Watching is stopped. If that's the case then if you right click on the icon then the second line will say Start Watching Folders.Click on it,it will start watching and the X will go away.
The second thing is a bit more complicated. It could be from the services not starting.Try going to Control Panel,Administrative Tools,Services.Go down to RoxMediaDB9 and see what it's set to.If it's set to Manual switch it to Automatic and reboot.Once you reboot hopefully the X will be gone. This worked for me in XP and hopefully it will work in Vista also.
There is also a Knowledge base article about this that says to go to the Services tab in msconfig but I don't find the entries in Vista that they talk about.
