Is it possible to download an upgrade (need to know before I pay for it) for dvdit pro, when my version of dvdit (2.5.4 SE) is not installed on my XP machine. Looking at my install disc and serial number, it requires windows 98, 2000 or nt 4.0. I haven't used dvdit for quite a while and now a a laptop with xp. It isnt installed anywhere else. will the download and install work for the upgrade?

Yes it will, it doesn't check for anything.
