A Critical Media Centre process has failed

I have done a system restore to be fore myDVD and it works, but when it is reinstalled, problems.
I had myDVD LE v 6 from Dell installed before and it worked fine.
During installation myDVD 8 told me it had conflicts with:
DELL CinePlayer
Roxio DLA and needed to uninstall them.
Any ideas?

Also tried (before uninstalling myDVD 8) using the previously myDVD LE by Dell to record video NOT using MCE and it worked.
Something strange with myDVD and MCE

Win XP sp2 MCE 2005
Dell 9150 (2.8 GHz dual core)
2 GB RAM
WinTV 150 MCE card
NVIDIA GeForce 7300 LE

Hmmm...
I have done some more trouble shooting and found that the problem comes from the fact that when myDVD 8 is installed, the decoders it installs are NOT compatible with MCE or Windows Media 10.
When I choose a decoder that isn't a Roxio it seems fine in MCE, but when using myDVD 8 to capture video from the card the audio is bad.
So, why are the Roxio decoders not compatible??

Well... I worked on my issue on-and-off all day yesterday and finally decided to restore my computer to before upgrading to myDVD 8.
The frustration level was pretty high, and I consider myself a good trouble shooter (tried installing NVIDIA decoder for MPEG 2 (trial if it worked would cost me $, updated, my video card driver (GeForce 7300 LE)), used windows xp video checkup utility, etc..)
So come Monday it will be "return to sender." Too many headaches for a piece of software that I won't use often (think I'll stick with Premier Elements 2).
Anyone have any last minute fixes?

No Last minute fixes Jeff but I would like to share that I too had issues with a Sonic/Roxio product with similar details. My box is also a Dell XPS w/2.8 Ghz PD, 1Gb of RAM, same Vid card, and TV capture, etc. My issue was with EMC 8 instead of MyDVD8 though. The initial install of the prog worked fine but after a recent update from Sonic, a couple of the startup processes encouter Run Time errors and when I tried to view or record TV, I either received a low-data rate error (for live viewing) or I blue screened when attempting to record. Uninstalled EMC 8 and now, no more startup errors (of course) and no more data rate errors. Will follow up on record functionality as applicable.
