Error 1931 In Installation

Every time I install EMC 8, the download version, I get an error:

Error 1931 Windows installer service cannot update file C:\Windows\system32\comcat.dll
because the file is protected by windows.  You may need to update your opperating system for this program to work correctly.

I have checked microsoft update and there are no updates available.  I then called Dell and they told me to update to a new version at tinyurl.com/dkdra.  I did that but still got the error.  The installation completes after this error but the media import program does not work.  If I choose not to install the media import program I still get an error.

Is there any way do get around this problem?

My System:
Dell XPS 400
Dual tuner card
Radeon X600 256MB vid card
Windows Media Center SP2
Pendium D 2.8GHz
1GB RAM

I am having the same problem with Roxio EMC 7.1 except it says that is cannot update mfc242.dll file.  It does as you say and complete the install but then the program won't work.  I have scoured the Roxio and Micorsoft web sites and all I have been able to learn is that this file is protected by Windows File Protection and can't be changed except through the windows update or fix site.
